Based on the other threads scr38 suggested you have a bad driver side cat. So yes u need to replace the cat. If u are going with headers u still need a cat. So a b pipe with cat attached. There is a titantalk member nightowl, he has a Cajun b pipe with cat for under 200. U can install it yourself if u are "incline" to. Some say its about 8-10 hrs process.
Maybe some others will chime in. Scr38 has more knowledge on this matter then I do.
I know I'm coming in on this pretty late, just happened across it. I'm surprised nobody else other than ntrddragn has chimed in. Where is everybody?
Me, I'd go for it! Wish I could offer you some insight as having actually done it myself. These kind of jobs though I would not shy away from. I don't know that you need any special tools more than just the replacement parts. It'd probably help if you have pneumatic tools but if you don't it's probably still just as doable.

Richard was saying someone he knows uses clamps rather than welding so if there is a failure with a section then much easier to fix... i'm somewhat curious about it.
i'm not too sure if you need/needed new b pipes... heard good things about the cajun ones. pops was saying hE might ask local shop to custom fab some b pipes.
i'm with turtle on tool issues... air tools would prolly be helpful.
